End-user license agreement

This End-User License Agreement ("Agreement") is a legal agreement between you ("User" or "Licensee") and GPS One ("Licensor"), governing your use of the GPS One Transportation Management Software ("Software"). By installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not install or use the Software.

1. LICENSE GRANT

Licensor grants the User a limited, non-exclusive, non-transferable, revocable license to use the Software solely for its intended purpose in managing transportation operations. The User may not sublicense, distribute, or modify the Software except as expressly permitted in this Agreement.

2. RESTRICTIONS

The User agrees not to:

Copy, modify, distribute, sell, or lease any part of the Software.

Reverse-engineer, decompile, or attempt to extract the source code.

Use the Software for any illegal or unauthorized purpose.

Circumvent any technological measures designed to protect the Software.

3. INTELLECTUAL PROPERTY

The Software and all related intellectual property rights are owned by GPS One. This Agreement does not grant the User any ownership rights to the Software, only a license to use it in accordance with the stated terms.

4. DATA COLLECTION AND PRIVACY

The Software may collect and process data related to transportation logistics. By using the Software, the User consents to such collection and processing in accordance with GPS One’s Privacy Policy. GPS One does not sell or share user data with third parties except as required by law or necessary to provide Software functionality.

5. UPDATES AND MODIFICATIONS

GPS One may release updates, bug fixes, or new features to improve the Software. These updates may be installed automatically or require manual installation. Continued use of the Software following an update constitutes acceptance of the updated terms.

6. TERMINATION

GPS One may terminate this Agreement at any time if the User violates any terms. Upon termination, the User must cease all use of the Software and uninstall it from any devices where it was installed.

7. DISCLAIMER OF WARRANTIES

The Software is provided "as is" without any warranties, express or implied. GPS One does not guarantee that the Software will be error-free, uninterrupted, or meet specific business needs.

8. LIMITATION OF LIABILITY

To the maximum extent permitted by law, GPS One is not liable for any direct, indirect, incidental, or consequential damages arising from the use or inability to use the Software, even if GPS One has been advised of the possibility of such damages. 

9. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of laws principles.
